- Client: the natural or legal person entering into an agreement with Utomatic
- Services: all work and AI automation solutions provided by Utomatic
- Agreement: any agreement between Utomatic and the Client
Article 2 - Applicability
These general terms and conditions apply to all offers, quotations, and agreements between Utomatic and the Client. Deviations are only valid if expressly agreed in writing.

Article 4 - Execution of the Agreement
These general terms and conditions apply to all offers, quotations, and agreements between Utomatic and the Client. Deviations are only valid if expressly agreed in writing.
Article 5 - Rates and Payment
- All prices are exclusive of VAT, unless otherwise stated
- Payment must be made within 14 days of the invoice date
- In case of late payment, the Client is automatically in default
- Utomatic reserves the right to index rates annually
Article 6 - Intellectual Property
All intellectual property rights to software, documentation, and other materials developed by Utomatic rest with Utomatic, unless otherwise agreed in writing. The Client obtains a usage right after full payment.
Article 7 - Confidentiality
Both parties are obliged to keep confidential all information obtained from each other or another source in the context of their agreement. This confidentiality obligation also continues after termination of the agreement.
Article 8 - Liability
Utomatic's liability is limited to the amount paid out by its liability insurance, or failing that, to the invoice amount of the assignment. Utomatic is not liable for indirect damage, including lost profits.
Article 9 - Force Majeure
Utomatic is not obliged to fulfil any obligation if it is prevented from doing so due to force majeure.
Article 10 - Applicable Law
All agreements between Utomatic and the Client are governed by Dutch law. Disputes are submitted to the competent court in Rotterdam.
